6. Browsing the Website does not require registration, and placing orders for the Services by the Client on their own does not require registering an account.
7. These Terms of Service are available free of charge on the Website, in a form that allows them to be downloaded, displayed and saved.
8. The Client is obliged to read these Terms of Service. The use of the Website is only possible after reading and accepting these Terms of Service.
9. A Client may only be an entrepreneur (a legal person, an organizational unit or a natural person conducting business activity) purchasing the Services in connection with their business or professional activity and acting through a person with full legal capacity who is authorized to represent them. StartUp does not conclude Contracts with Consumers. The provisions concerning consumers apply to an Entrepreneur with Consumer Rights to the extent resulting from Article 7aa of the Consumer Rights Act of 30 May 2014 and Article 385(5) of the Civil Code, in particular § 7 of these Terms of Service. StartUp does not provide the Services to persons or entities subject to sanctions of the European Union, the United Nations, the United Kingdom or the United States, or where the law prohibits it.

11. In the event of a justified suspicion that the Client has provided false data, StartUp has the right to withdraw from the performance of the Contract, notifying the Client accordingly.
12. In the event that the Client provides incorrect or inaccurate data, including in particular an incorrect e-mail address, StartUp will not be liable for any failure to deliver or delay in the delivery of the Report or the failure to perform the Service, to the fullest extent permitted by law.
13. The information contained on the Website, including in particular announcements, advertisements and price lists, does not constitute an offer within the meaning of Article 66 of the Act of 23 April 1964, the Civil Code. The information contained on the Website, however, constitutes an invitation to conclude a Contract, described in Article 71 of the Civil Code.
14. StartUp is obliged to provide the Client who is an Entrepreneur with Consumer Rights, in a clear and visible manner, immediately before the Client places an order with online payment or at the latest together with the Invoice, with information in particular about:
1) the main features of the service, taking into account the subject of the service and the method of communication with the Client,
2) the total price or remuneration for the service, including taxes, and, if the nature of the subject matter of the service does not reasonably allow their amount to be calculated in advance, the manner in which they will be calculated, as well as the charges for transport, delivery, postal services and other costs, and if the amount of these charges cannot be determined, the obligation to pay them;
3) the right to withdraw from the contract or the absence of such right,
4) the duration of the contract or the manner and grounds for terminating the contract, if it is concluded for an indefinite period of time or if it is to be automatically extended;
5) the minimum duration of the Client’s obligations under the contract.
15. If StartUp provides for the possibility of accepting individual orders from Clients (on request), such orders may be placed by Clients via the StartUp e-mail address provided on the Website. In such a case, StartUp makes a quote and sends it to the e-mail address indicated by the Client.
16. The lead time for an individual order (on request) is 30 days from the Start of Work, unless StartUp has informed the Client, on the Website or at the latest together with the Invoice, of a different lead time, counted in Working days.
17. The Website serves Clients from Poland, other member states of the European Union and from outside the European Union, unless the offer of StartUp on the Website provides otherwise.
18. The Website is operated in English; StartUp concludes Contracts and communicates with Clients in this language. These Terms of Service are made available on the Website and sent together with the Invoice in English (Terms of Service together with the Refund Policy). In the event of a discrepancy between the Polish version and the English version made available at online payment or sent together with the Invoice, the English version prevails. The Client’s general terms and conditions and other documents do not apply, unless StartUp accepts them in writing.
1. Website browsing requirements:
1) a terminal device with Internet access,
2) a web browser enabling the acceptance of cookies; for example Microsoft Edge, Google Chrome, Mozilla Firefox or Safari in the current version, with JavaScript enabled;
3) acceptance of necessary cookies.
2. To use the functionality of the Website, in particular to place orders for the Services and to receive the Report, an active e-mail account is necessary.
3. The Website uses cookies in order to properly perform the Services, as well as to ensure security. Blocking cookies, as well as the use of external applications used to block them, may result in improper operation of the Website, as well as prevent the proper performance of the Service, for which StartUp will not be responsible.
1. StartUp provides Services to Clients, the type, scope and detailed description of which are indicated on the Website. The Services consist in particular of audits of the visibility of websites in search engines and AI assistants (AI Search Readiness Audit, AI Search Visibility Audit, Full Search Audit), audits of advertising spend and measurement configuration in Google Ads and Google Analytics 4 (including a monthly spend check), re-audits and add-on services to the Audits. The result of an Audit is a Report.
2. The Services are provided in the manner indicated on the Website, in particular on the page related to a given Service.
3. The Services are advisory in nature: StartUp analyses, measures, documents and recommends, but does not make changes to the Client’s website, accounts or campaigns.
4. StartUp provides information on the Website on how the Client places an order for the Services. The Client places an order: (1) by e-mail to hello@fullsearchaudit.com or through a form on the Website, indicating the Services of their interest and the data necessary to conclude the Contract, issue the Invoice and perform the Service (in particular the website address, the name, address and country of the registered office and the EU VAT number, if the Client has one); such an enquiry and the arrangements preceding payment do not bind either party and have the nature of a consultation concerning the Service; or (2) with online payment through Stripe or another payment operator indicated on the Website, if available for a given Service.
5. If the order is placed with online payment, the button completing the order is marked with the words “Order with obligation to pay” (“Zamawiam z obowiązkiem zapłaty”) or other equivalent unambiguous wording, and immediately before it the Client receives the information referred to in § 1 paragraph 14 and confirms acceptance of these Terms of Service and the Refund Policy and that they have read the Privacy Policy (“I accept the Terms of Service and the Refund Policy and have read the Privacy Policy”) by ticking a separate box that is not pre-ticked. In other cases, StartUp confirms to the Client in writing (by e-mail) the scope of the Service, the price, the VAT treatment, the delivery time and the conditions for starting work, and sends the Invoice together with these Terms of Service as a PDF file or a link to download them; the Invoice together with the confirmation constitutes StartUp’s offer, valid for 14 days unless a different period is indicated in it.
6. The Contract is concluded at the moment of payment: the confirmation of the online payment or the receipt on StartUp’s account of the full amount indicated on the Invoice within the validity period of the offer. Payment means acceptance of these Terms of Service in the version made available at payment or sent together with the Invoice. Until payment, neither party is bound, and an Invoice not paid on time ceases to be effective as an offer. StartUp immediately confirms to the Client by e-mail, on a durable medium, the receipt of payment and the conclusion of the Contract; the confirmation contains information about the right to withdraw from the contract or the absence of such right, these Terms of Service and the Refund Policy as PDF files and a link to the Privacy Policy at https://fullsearchaudit.com/privacy/, and, for the Client indicated in § 7 paragraph 1, also the model withdrawal form (Article 21 of the Consumer Rights Act of 30 May 2014). If the payment arrives late, in an incomplete amount or after the Client has been informed that StartUp cannot accept the order, StartUp either confirms the conclusion of the Contract or refunds the payment in full within 14 days.
7. The Client is informed about the date of commencement and completion of the provision of the Services prior to the conclusion of the Contract, in particular via the Website.
8. Subject to paragraph 13, the Start of Work takes place at the latest of the following moments: (1) receipt of payment; (2) the Client’s approval of the set of buyer questions prepared by StartUp and, if the Service includes them, of the list of competitors and key pages; (3) if the Service is based on data exports from Google Ads and Google Analytics 4, receipt of those exports. The delivery time indicated on the Website and confirmed together with the Invoice is counted in Working days from the Start of Work (from 3 to 10 Working days depending on the Audit). If the Client does not approve the questions or does not send the exports within 30 days of payment, StartUp sends a reminder; if there is no reply within the following 7 days, StartUp may terminate the Contract with immediate effect and refunds the payment in full.
9. The Services concerning Google Ads and Google Analytics 4 are performed exclusively on the basis of aggregated report exports, which the Client downloads from their own accounts and sends to StartUp. StartUp does not obtain access to the Client’s accounts and does not ask for logins, invitations or permissions. The Client does not send user-level data or data identifying their visitors, customers or employees; if an export contains such data, StartUp does not use it, deletes it and informs the Client. The exports are used exclusively to perform the Service and are deleted within 30 days of delivery of the Report, unless complaint proceedings are pending.
10. The Report is delivered by e-mail to the address used to place the order or to another address indicated by the Client in writing; delivery takes place at the moment the message with the Report or a secure download link is sent, and if the message is not received, StartUp sends it again. If, before or after the Start of Work, it turns out that the Client’s website is not suitable for an Audit (in particular it is not publicly available, is under construction, is predominantly behind a login or blocks automated access), StartUp informs the Client and refunds 100% of the price paid.
11. The Services constitute a diligent expert analysis with recommendations (an obligation of due diligence, not of result). StartUp does not guarantee any business result, in particular that the Client or their brand will appear in the answers of AI assistants or Google AI Overviews, any position in search results, traffic, leads, sales, cost per conversion, return on advertising spend or a refund for invalid clicks. The answers of AI assistants quoted in the Report constitute a dated sample collected under the conditions indicated in the Report and may contain errors, which StartUp does not confirm; the scores in the Report are StartUp’s own assessment according to its published methodology. Every finding, score and recommendation is checked by a person before delivery; AI reviews sold as add-on services are generated with the help of AI, checked by a person and labelled as such in the Report. Changes in AI systems, search engines and advertising platforms after the date of the Report do not constitute non-compliance of the Service with the Contract. Decisions on implementing the recommendations are made by the Client at their own responsibility; the Report does not constitute legal or tax advice.
12. If, at the express request of the Client indicated in § 7 paragraph 1, the performance of the Service is to begin before the expiry of the deadline for withdrawal from a distance contract, StartUp requires the Client to submit a statement:
1) comprising such an express request on a durable medium;
2) that the Client has taken note of the information about the loss of the right to withdraw from the contract upon its full performance by StartUp.
13. If the Client indicated in § 7 paragraph 1 does not request the commencement of the performance of the Service before the expiry of the deadline for withdrawal from the Contract, the Start of Work takes place no earlier than on the day following the expiry of that deadline.
14. A Contract for an Audit or another one-time Service expires upon delivery of the Report. The Client may cancel the Contract before it is performed; the financial consequences of cancellation, including refunds, are specified in § 8. A Contract for a Service provided on a continuous basis (monthly advertising spend check) may be terminated by the Client at any time, in writing or in documentary form, with effect at the end of the month already paid for; the fee for this Service is collected in advance for one month and never for a longer period.
15. StartUp may terminate a Contract for a Service provided on a continuous basis, in writing or in documentary form, with a 1-month notice period with effect at the end of the calendar month, for important reasons. The parties recognize the following as important reasons:
1) cessation or a decision of StartUp to cease the functioning of the organized part of the StartUp enterprise indicated in § 1;
2) a significant change or a decision of StartUp on a significant change in the subject of activity of the organized part of the StartUp enterprise indicated in § 1;
3) a significant reorganization in the StartUp enterprise;
4) the occurrence of failures or difficulties (in particular technical ones), not attributable to StartUp, preventing or significantly hindering the provision of the Services to the Client;
5) the Client’s delay in payment of remuneration to StartUp;
6) a material breach of the Contract or these Terms of Service by the Client.
16. StartUp may terminate the Contract with immediate effect, by e-mail, if the Client materially breaches these Terms of Service, if a payment has been reversed or charged back, or if the performance of the Service has become unlawful. If StartUp terminates the Contract for reasons on its side before delivery of the Report, it refunds 100% of the remuneration for a one-time Service and the unused part of the remuneration for a continuous Service.
1. A complaint regarding Services (including free services provided electronically) provided contrary to the Contract (in particular a factual error in the Report or the absence of an agreed element of the Service) is submitted by the Client by e-mail to hello@fullsearchaudit.com or in writing to the correspondence address indicated in § 1 paragraph 1, with the note “Full Search Audit”, stating the Invoice number, a description of the irregularity and the request, depending on the nature of the Service.
2. A complaint regarding the non-compliance of the Service with the Contract will be considered within 14 (say: fourteen) days of its receipt.
3. In the event that StartUp does not respond to the complaint within the deadline, it is assumed that the complaint has been accepted. The preceding sentence applies to a Client who is a Consumer or an Entrepreneur with Consumer Rights; StartUp responds to other Clients within the period indicated in paragraph 2.
4. StartUp informs the Client about the outcome of the complaint on paper or another durable medium.
5. If the complaint regarding the Service is accepted, StartUp performs the Service in a correct manner, returns all or part of the remuneration received to the Client or provides other services to the Client, depending on the type of Service and the circumstances of the case.
6. A Report is not non-compliant with the Contract because AI assistants gave answers the Client did not expect, because the Client or their brand does not appear in AI answers, because a subsequent measurement gives different answers, because incorrect statements of AI assistants were quoted in the Report as evidence, or because the implemented recommendations did not bring a particular result.
7. The liability of StartUp is limited in accordance with paragraph 8. The liability of StartUp for damage caused by non-performance or improper performance of the Service does not include lost profits. StartUp is not liable for the consequences of implementing or not implementing the recommendations, for the operation, changes or failures of third-party systems (AI assistants, search engines, advertising and analytics platforms, data providers) or for the consequences of untrue or incomplete information and exports provided by the Client. The limitations set out in this paragraph do not apply to damage caused intentionally or through gross negligence and do not apply to a Consumer or an Entrepreneur with Consumer Rights.
8. The liability of StartUp under the statutory warranty for defects of the Services (Articles 558 and 638 of the Civil Code) is excluded, which does not exclude the right to submit a complaint under the rules of this paragraph, and the total liability of StartUp for non-performance or improper performance of the Contract is limited to the net remuneration paid for the Service to which the claim relates (in the case of a continuous Service, to the fees for the last three months); these limitations do not apply to damage caused intentionally or through gross negligence or to cases in which the law does not allow liability to be limited. The provisions of this paragraph apply to contracts concluded with a Client who is not:
1) a Consumer;
2) a natural person concluding a contract with StartUp directly related to their business activity, when it follows from the content of this contract that it does not have a professional nature for this person, resulting in particular from the subject of their business activity, made available on the basis of the provisions on the Central Register and Information on Business Activity (CEIDG).
1. The prices of the Services indicated on the Website are net prices, expressed in US dollars (USD) or in euro (EUR) at the Client’s choice, and do not include value added tax (VAT). VAT is added in accordance with the law depending on the place of the Client’s registered office: Clients with their registered office in Poland and Clients from other member states of the European Union without a valid EU VAT number are charged Polish VAT at the applicable rate; Services for Clients from other member states of the European Union holding a valid EU VAT number (verified in the VIES system) are settled under the reverse charge mechanism; Services for Clients from outside the European Union are not subject to Polish VAT. The price, the VAT treatment and the total amount are confirmed in writing together with the Invoice before payment; in the case of a price “from” or “on request”, the price confirmed in writing is binding.
2. If on the Website, on the page of a given Service or in the course of placing an order by the Client, StartUp has not specified a different way of fulfilling the performance, the methods of delivery of the Services are as follows:
1) in the case of Reports: to the e-mail address provided by the Client;
2) in the case of other Services: in the manner specified on the Website on the page of a given Service or in the course of placing an order by the Client, resulting in particular from the type of Service.
3. On the Website, StartUp clearly indicates, at the latest at the beginning of the Client’s order, clear and legible information about restrictions on the provision of the Service.
4. Invoices are issued by StartUp in electronic form, in the currency of the order, and sent to the e-mail address indicated by the Client. Bank, card and currency conversion fees charged by the Client’s bank are borne by the Client; the amount that reaches StartUp must correspond to the amount on the Invoice. StartUp does not sell annual plans and does not collect payment in advance for more than one period of the Service.
5. If the price of a Service depends on the monthly Google Ads spend or the number of accounts declared by the Client (according to the bands indicated on the Website), and the exports sent indicate a higher band, StartUp informs the Client in writing within 2 Working days; the Client may pay the difference or cancel the order for a refund of the full payment. The same applies where the Client’s EU VAT number turns out to be invalid and Polish VAT applies.
6. A discount on a second Audit is granted if the order for the second Audit reaches StartUp within 30 days of delivery of the Report from the first Audit, paid for and not refunded; the amount of the discount is 30% of the net price of the second Audit; the discounted net price is rounded down to the nearest whole US dollar or euro, and VAT, where due, is calculated on the rounded price. The discount applies to the AI Search Readiness Audit, the AI Search Visibility Audit and the Full Search Audit only, and not to add-ons or to Services confirmed individually in writing. The discount applies exclusively to the price of the Audit, is granted once per Client, cannot be combined with other discounts or an individually agreed price and has no cash value.
1. On the Website, StartUp clearly indicates, at the latest at the beginning of the Client’s order, clear and legible information about the accepted payment methods.
2. The Client makes the payment in advance, before the Start of Work, in one of the following ways:
1) by online payment through Stripe or another payment operator indicated on the Website, if available for a given Service;
2) by ordinary bank transfer to the account indicated on the Invoice.
3. In order to be able to use one of the electronic payment systems, the Client must accept the terms and conditions of use of the given electronic payment system. Information on the available payment methods is provided together with the Invoice.
4. In the event of withdrawal from the contract, the refund is made in the same way as the payment was made by the Client, unless the Client has expressly agreed to a different method of refund that does not involve any costs for the Client.
5. StartUp does not allow Clients to make cash payments.
1. The provisions of this paragraph apply to a Client who is a Consumer, or to a natural person concluding a contract with StartUp directly related to their business activity, when it follows from the content of this contract that it does not have a professional nature for this person, resulting in particular from the subject of their business activity, made available on the basis of the provisions on the Central Register and Information on Business Activity (CEIDG).
2. The Client indicated in paragraph 1 has the right to withdraw from the Contract without giving a reason and without incurring costs, unless the provisions of generally applicable law or the provisions of these Terms of Service provide otherwise. A Contract from which the Client indicated in paragraph 1 has withdrawn is considered not concluded.
3. To withdraw from the contract, it is sufficient to submit a statement of withdrawal from the contract and send it to StartUp within 14 (say: fourteen) days.
4. The withdrawal period starts on the day of conclusion of the Contract (§ 3 paragraph 6).
5. To meet the deadline for withdrawal from the contract, it is sufficient:
1) to send a written statement to the StartUp address indicated in these Terms of Service or on the Website, or
2) to send a statement in documentary form to the StartUp e-mail address indicated in these Terms of Service or on the Website.
6. StartUp immediately sends the Client, on a durable medium, a confirmation of receipt of the statement of withdrawal from the contract submitted electronically.
7. In the event of the Client’s withdrawal from the contract, StartUp is obliged to refund the amount paid to the Client within no more than 14 (say: fourteen) days from the date of receipt of the statement of withdrawal from the contract.
8. StartUp will refund the payment using the same method of payment used by the Client, unless the Client agrees with StartUp on another method of refund that does not involve any costs for the Client.
9. The Client is not entitled to withdraw from the contract in the cases indicated in the Consumer Rights Act of 30 May 2014, in particular in relation to contracts:
1) for the provision of services for which the consumer is obliged to pay the price, if the entrepreneur has fully performed the service with the express and prior consent of the consumer, who was informed before the commencement of the provision that after the performance by the entrepreneur they will lose the right to withdraw from the contract, and has taken note of this;
2) for the supply of digital content not supplied on a tangible medium, for which the consumer is obliged to pay the price, if the entrepreneur began the performance with the express and prior consent of the consumer, who was informed before the commencement of the provision that after the performance by the entrepreneur they will lose the right to withdraw from the contract, and has taken note of this, and the entrepreneur has provided the consumer with the confirmation referred to in Article 15(1) and (2) or Article 21(1) of the Consumer Rights Act.
10. StartUp will also correct the proofs of purchase previously provided to the Client (VAT correcting invoice or corrective specification).
11. If the Client indicated in paragraph 1 requested the commencement of the performance of the Service before the expiry of the deadline for withdrawal from the contract and withdraws from the Contract before its full performance, the Client is obliged to pay for the performance provided up to the moment of withdrawal, in an amount proportional to the full price of the Service (Article 35 of the Consumer Rights Act of 30 May 2014); StartUp refunds the remaining part within 14 days.
StartUp will make a refund, within 14 (say: fourteen) calendar days, using the same payment methods that were used by the Client for payment, unless the Client has expressly agreed to another method of refund that does not involve any costs for the Client, in the case of:
1. withdrawal from the contract in whole or in part (in which case the relevant part of the price is refundable) in the case of an order paid in advance before its performance;
2. acceptance of a complaint and the inability to perform the Service in accordance with the contract;
3. recognition of the right to request a reduction in the price of the Service;
4. the Client’s cancellation of the order before the Start of Work (refund of 100% of the price paid);
5. a finding that the Client’s website is not suitable for an Audit (§ 3 paragraph 10), also after the Start of Work (100% refund);
6. failure to deliver the Report within the delivery time for reasons on the side of StartUp, if the Client cancels the Contract after that time has passed and before delivery of the Report (100% refund). A delay caused by the Client (missing information, approval or exports), by a failure of third-party systems beyond StartUp’s control (AI assistants, data providers, advertising platforms) or by force majeure is not a reason on the side of StartUp; StartUp then informs the Client of the new delivery date.
After the Start of Work, the Client’s cancellation of the order does not entitle them to a refund of the remuneration; StartUp performs and delivers the Report on the basis of the approved scope. With regard to the Client indicated in § 7 paragraph 1 who requested the commencement of the performance of the Service before the expiry of the deadline for withdrawal from the contract and withdraws from the Contract before its full performance, § 7 paragraph 11 applies (payment proportional to the performance provided, refund of the remaining part). After delivery of the Report, the remuneration is not refundable, subject to § 4 and the rights of the Client indicated in § 7 paragraph 1. The detailed rules of refunds are set out in the Refund Policy made available on the Website, which forms part of these Terms of Service.
1. A person downloading the sample report on the Website may consent to receive commercial information from StartUp by electronic means (Article 398 of the Electronic Communications Law of 12 July 2024) by ticking a separate, optional box in the form that is not pre-ticked. Consent is not a condition of downloading the sample report or of placing an order; no marketing consent is collected in the ordering process.
2. Consent may be withdrawn at any time by notifying StartUp of the withdrawal or through the link contained in every message.
3. The sample report made available on the Website is a free service provided electronically: after the form with a business e-mail address is submitted, StartUp makes a download link available and sends it to that address. The sample is an anonymised Report of another company, intended exclusively for entrepreneurs; it does not concern the Client’s business and does not predetermine the results of an Audit. The Client may use the sample within their own business, but may not publish or sell it. The Client may stop using the free services (the sample report, the contact form) at any time by e-mail; there is nothing to refund.
The Client may contact StartUp:
1. by phone, at: +48 889 581 073;
2. by e-mail, at the e-mail address: hello@fullsearchaudit.com;
3. through the contact form on the Website (fullsearchaudit.com/contact/) or in writing to the StartUp address indicated in § 1 paragraph 1, with the note “Full Search Audit”. Client service is provided in writing (e-mail), so that both parties keep a record of the arrangements.
1. StartUp informs that the use of services provided electronically is associated with threats resulting from the generally available nature of the Internet, including, in particular, the possibility of obtaining or modifying the Client’s transmitted data by unauthorized third parties. In order to minimize the above threat, the Client should apply appropriate security measures, including, in particular, the use of antivirus programs, having current versions of web browsers and operating systems and not using open access points.
2. To the fullest extent permitted by law, StartUp is not responsible for the blocking by mail server administrators of the sending of messages to the e-mail address indicated by the Client and for the deletion and blocking of e-mail messages by software installed on the computer used by the Client.
3. StartUp is not responsible for the devices and infrastructure used by the Client, including the malfunction of public ICT networks, causing, for example, the lack of or interference in access to the Website.
4. StartUp informs that all trademarks (logos, logotypes, brand names, etc.), graphic materials or photos posted on the Website are subject to legal protection and are used by StartUp for information purposes only. The names ChatGPT, OpenAI, Perplexity, Claude, Anthropic, Grok, xAI, Google, Google Ads, Google Analytics and Google AI Overviews are trademarks of their owners; StartUp is not affiliated with them and uses these names exclusively to identify the systems examined.
5. To the fullest extent permitted by law, StartUp is not liable for disruptions, including interruptions, in the functioning of the Website caused by force majeure, unauthorized actions of third parties or incompatibility of the Website with the Client’s technical infrastructure.
6. StartUp reserves the right to temporarily suspend the operation of the Website, in particular in order to carry out maintenance, development or modernization works.
7. All names of the Services offered on the Website are used for identification purposes and may be protected or reserved under the provisions of the Industrial Property Law.
8. StartUp points out that the Website contains content protected by intellectual property law, in particular works protected by copyright (content posted on the Website, graphic layout, graphics, photos, etc.). Clients and visitors to the Website undertake to comply with the intellectual property rights (including proprietary copyrights and industrial property rights such as rights arising from the registration of trademarks) of StartUp and third parties. The Client or a visitor to the Website is solely responsible for non-compliance with the provisions of this point.
9. The Client may not post on the Website illegal content, content inconsistent with applicable law, immoral content or content infringing the personal rights or interests of third parties, and may not publish links to pornographic or obscene materials or materials insulting the dignity of other people.
10. The Client is obliged to refrain from any activity that could affect the proper functioning of the Website, in particular from any interference in the operation of the Website or its technical elements.
11. StartUp’s methodology, checklists, templates and know-how remain its property. Upon payment of the full remuneration, the Client obtains a non-exclusive, territorially unlimited and perpetual licence to use the Report within their own business, including to share it with their employees, advisers and contractors and to use the ready-to-use materials contained in it on their own websites. When publishing the Report or parts of it, the Client states its date, keeps the attribution of the quoted answers to the AI assistant that gave them and does not change their meaning; the Client publishes statements about other entities at their own responsibility. StartUp may use anonymised, aggregated results for statistical purposes and to improve its methodology; it names the Client as its client only with the Client’s prior written consent.
12. StartUp keeps confidential the non-public information received from the Client in connection with the Contract (including the brief, the exports and the Report), uses it exclusively to perform the Contract and discloses it only to the service providers it uses in performing the Services, to the extent necessary, or where required by law. This obligation lasts for 3 years from the end of the Contract and does not cover publicly available information or information that the Client has agreed to disclose.
13. The rules of processing of the personal data of Clients, their contact persons and users of the Website are set out in the Privacy Policy made available on the Website.
14. StartUp may amend these Terms of Service for important reasons: changes in the law, in the scope or manner of providing the Services, in the ordering, payment or delivery process, or for security reasons. The Contract is governed by the version of these Terms of Service made available at online payment or sent together with the Invoice. StartUp informs Clients bound by a Contract for a continuous Service of an amendment to these Terms of Service by e-mail at least 14 days before it enters into force; the Client may terminate the Contract within that period. The current version of these Terms of Service, with its number and effective date, is always available on the Website, and previous versions on request. An amendment to these Terms of Service does not affect Contracts concluded before the date the amendments enter into force.
15. In matters not covered by these Terms of Service, the applicable provisions of Polish law apply (the United Nations Convention on Contracts for the International Sale of Goods does not apply), in particular the provisions of:
1) the Civil Code of 23 April 1964;
2) the Consumer Rights Act of 30 May 2014 (in relation to Consumers and Entrepreneurs with Consumer Rights);
3) the Act of 18 July 2002 on providing services by electronic means;
4) the Electronic Communications Law of 12 July 2024;
5) Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR).
16. Contracts concluded on the basis of these Terms of Service are governed by Polish law. Disputes arising from them are resolved by the Polish courts, and locally by the common court having jurisdiction over the registered office of StartUp. This provision does not apply to Contracts concluded with a Consumer or an Entrepreneur with Consumer Rights.
17. The use of a specific method of out-of-court dispute resolution is only possible with the mutual consent of the Client and StartUp.
18. StartUp may transfer its rights and obligations under the Contract to an entity that takes over the provision of the Full Search Audit services, notifying the Client in writing at least 30 days in advance; the Client may terminate the Contract with immediate effect within that period, and StartUp refunds the remuneration for the part of the Service not performed. If any provision of these Terms of Service turns out to be invalid, the remaining provisions remain in force.
19. These Terms of Service come into force on: 26 October 2026.
